These Terms & Conditions (“Terms”) govern your access to and use of this website (the “Site”) and any purchases you make through the Site. The Site is operated by Agat Direct (“Agat Direct,” “we,” “us,” or “our”).
By visiting, browsing, creating an account, or placing an order, you agree to these Terms. If you do not agree, do not use the Site.
1. Eligibility and Account Security

You must be at least the age of majority where you live and able to enter a binding contract.

If you create an account, you are responsible for safeguarding credentials and all activity under your account.

You agree to provide accurate, current, and complete information (including shipping and billing details).
2. Acceptable Use
You agree not to:

violate any law or regulation;

attempt unauthorized access to the Site, accounts, or systems;

use automated tools (bots, scrapers, data-mining) without our written permission;

interfere with security or performance; or
-
misuse the Site in a way that harms Agat Direct, our customers, or third parties.
We may restrict access, refuse service, suspend accounts, or cancel orders where permitted by law.
3. Product Information, Fitment, and Technical Guidance
Product descriptions, images, compatibility/fitment notes, and guidance are provided for convenience and may not be complete or error-free. You are responsible for confirming correct part selection, fitment, compatibility, and suitability for your specific application (including OEM/part numbers, production dates, revisions, and any programming/coding requirements).
Installation should be performed by qualified professionals when appropriate. Use of parts in a manner inconsistent with manufacturer recommendations may create safety risks and may void applicable warranties.
4. Pricing, Availability, and Listing Errors

Prices, promotions, and availability may change at any time.

We strive for accuracy, but errors can occur (including incorrect pricing, photos, specifications, or availability).

If an error affects your order, we may correct the error, cancel the order, or contact you for instructions.
5. Orders, Payment, and Order Acceptance

An order submission is an offer to purchase. We may accept or decline orders in our discretion.

We may limit quantities, reject orders, or cancel orders suspected of fraud, abuse, policy violations, or pricing/stock errors.

You authorize us (and our payment processors) to charge your payment method for the amount shown at checkout, including applicable taxes, shipping, and fees.
6. Taxes
We will collect sales tax where required. You are responsible for any additional taxes, duties, or fees imposed by your jurisdiction that are not collected at checkout.
7. Shipping and Delivery
Shipping terms are further described in our Delivery Information page. Delivery dates are estimates, not guarantees. Title and risk of loss transfer as described in Delivery Information.
8. Returns, Refunds, Restocking Fee; RMA Required (Including Unacceptable Returns)
All returns are subject to Agat Direct’s return rules and any product-specific restrictions shown on the Site. If there is a conflict between these Terms and any return instructions issued with your RMA, the RMA instructions control.
8.1 Return Window; RMA Required
-
Return window: Returns must be initiated and shipped back within 14 days of delivery (as confirmed by carrier tracking), unless otherwise required by law.
-
RMA required: All returns require an approved RMA (Return Merchandise Authorization). Return instructions and the return email address will be provided during the RMA process.
-
Condition requirement: Returned items must be unused, uninstalled, and in original manufacturer packaging, and in resalable condition.
8.2 Restocking Fee and Return Shipping
-
Restocking fee: Eligible returns are subject to a 15% restocking fee, unless the return is due to our error (e.g., wrong item shipped) or delivery-related issues (e.g., carrier damage), as determined by Agat Direct after review.

Return shipping: Unless the return is due to our error or a verified delivery-related issue, you are responsible for return shipping costs.
8.3 Non-Returnable Items
The following items are non-returnable:
-
Gift cards / gift certificates, and
-
any item specifically marked “non-returnable” on the product page, at checkout, or in the RMA instructions.
8.4 Unacceptable Returns (May Be Refused)
Unacceptable returns may include products returned with markings, writing, labels, tape, stickers, or other alterations on the original product packaging (including manufacturer boxes), as well as items that show signs of tampering, customization, modification, or alteration in any way. Returns received in such condition may be subject to the 15% restocking fee and may be rejected altogether.
8.5 Ineligible Returns; Disposition of Refused Items
If a return is deemed ineligible and is refused, we will notify you by email (provided during the RMA process). Refused items will be held for 10 business days after notification.
If you would like the refused item shipped back to you, you must request return shipment within the 10-business-day period, and return shipping costs will be billed to you. If we do not receive instructions within that time, the refused item may be discarded.
8.6 Examples of Ineligible Returns (Non-Exhaustive)
Ineligible returns include, but are not limited to:
(a) Non-Sellable “New” Condition
Items that have been excessively handled, marked, damaged, modified, or altered such that they cannot be resold or returned to our suppliers. This includes items that have been:
-
installed or attempted installation,
-
used, worn, soiled, or rusted/corroded,
-
incomplete or missing components, hardware, manuals, inserts, seals, or accessories, and/or
-
returned without original manufacturer packaging or returned in packaging not suitable for resale.
(b) Defective / DOA Claims Not Meeting Requirements
Items claimed to be defective may be refused if:
-
damage occurred during installation or due to improper installation/handling,
-
the item was used for diagnostic/troubleshooting purposes and is no longer in “new” condition, or
-
the claim is made outside the return window described above (unless otherwise required by law or otherwise stated for the specific product).
(c) Non-Returnable Items
Gift cards/certificates and items marked non-returnable are not eligible for return.
9. Reward Dollars Program
Agat Direct may offer a customer loyalty program referred to as “Reward Dollars” (the “Program”). Reward Dollars are a promotional loyalty credit used for tracking benefits within the Program and are not actual currency, not legal tender, not money, and not a bank account, stored value, or gift card.
Reward Dollars:
-
have no cash value and are not redeemable for cash (except where required by law);
-
are not transferable and may not be assigned, sold, or bartered;
-
may be earned and redeemed only as described on the Site and/or in Program rules;
-
may be subject to minimum purchase requirements, exclusions, and expiration (if disclosed on the Site);
-
may be reversed or removed if issued in error, if a qualifying order is returned/refunded/charged back, or if we determine (in our reasonable discretion) that there was fraud, abuse, or misuse.
We may modify, suspend, or terminate the Program (including how Reward Dollars are earned, redeemed, valued, or displayed) at any time, with or without notice, to the extent permitted by law. Continued participation in the Program after changes are posted constitutes acceptance of the revised Program rules.
10. Manufacturer Warranties Only; No Additional Warranties by Agat Direct
Unless stated otherwise in writing by Agat Direct, products are covered only by the applicable manufacturer warranty (if any).
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AGAT DIRECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AGAT DIRECT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA) ARISING OUT OF OR RELATING TO THE SITE OR PRODUCTS.

AGAT DIRECT’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO AGAT DIRECT FOR THE PRODUCT(S) OR ORDER GIVING RISE TO THE CLAIM.
13. Chargebacks and Disputes
If you believe a charge is incorrect, you agree to contact us through the Contact Us page first so we can attempt to resolve the issue.
Chargebacks and payment disputes are reviewed internally. If we determine (in our reasonable discretion) that a chargeback or dispute was submitted fraudulently, abusively, or without first attempting good-faith resolution with us, we may, to the extent permitted by law:

deny future orders;
-
restrict or terminate account access;
-
block associated payment instruments, addresses, and identifiers; and/or
-
pursue collection and recovery of amounts owed, including fees we incur.
14. User Content (Reviews, Photos, Comments)
If you submit reviews, photos, videos, comments, or other content (“User Content”), you grant Agat Direct a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from your User Content for any lawful business purpose (including product pages, marketing, and advertising), without compensation to you.
You represent that you own or have rights to submit User Content and that it does not violate any third-party rights or laws. We may remove User Content at any time.
15. Intellectual Property
All Site content (including text, graphics, logos, images, data compilations, and software) is owned by or licensed to Agat Direct and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or exploit Site content except as expressly permitted by these Terms.
16. Third-Party Links
The Site may contain links to third-party sites. We do not control and are not responsible for third-party content, terms, or privacy practices.
17. Suspension and Termination
We may suspend or terminate your access to the Site at any time where permitted by law. Sections that by their nature should survive termination will survive (including IP, disclaimers, limitation of liability, arbitration, and indemnification).
18. Indemnification
You agree to defend, indemnify, and hold harmless Agat Direct and its owners, officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your infringement of any rights.
19. Changes to These Terms
We may update these Terms by posting a revised version on the Site and updating the “Last Updated” date. Your continued use of the Site after changes means you accept the updated Terms.
20. Governing Law
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws rules.
21. Mandatory Binding Arbitration — Limestone County, Alabama Only
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
You and Agat Direct agree that any dispute, claim, or controversy arising out of or relating to the Site, these Terms, any product, any order, any return/refund, any marketing or communications, or the relationship between you and Agat Direct (each, a “Dispute”) shall be resolved by final and binding arbitration, except as expressly stated below.
A) Venue / Seat
-
Exclusive Venue / Seat: Limestone County, Alabama only.
-
Format: The arbitration shall be held in Limestone County, Alabama, unless Agat Direct elects to conduct the hearing by remote video/teleconference, in which case the legal seat and venue shall remain Limestone County, Alabama.
B) Administrator / Rules
Arbitration shall be administered by a mutually agreed arbitration provider and conducted under that provider’s applicable rules. If the parties cannot agree on a provider, either party may request that a court in Limestone County, Alabama appoint an arbitrator consistent with Alabama law and, where applicable, the Federal Arbitration Act.
C) Individual Disputes Only (No Class Actions)
You and Agat Direct agree that Disputes will be brought only on an individual basis. No class actions, class arbitration, private attorney general actions, or other representative proceedings are permitted.
D) Company Carve-Out (Limited)
Notwithstanding the foregoing requirement to arbitrate, Agat Direct may, at its sole option, bring an individual claim it initiates in a court of competent jurisdiction located in Limestone County, Alabama (or proceed in arbitration), solely to seek:
-
injunctive or equitable relief;
-
to enforce or protect intellectual property rights; and/or
-
to pursue matters relating to collection, fraud, chargeback abuse, unauthorized activity, or security-related misuse of the Site or services.
E) Time Limits
Any Dispute must be brought within the time limits permitted by applicable law.
F) Severability
If any portion of this Section 21 is found unenforceable, the remaining portions will remain in effect to the maximum extent permitted by law.
22. Entire Agreement
These Terms, together with policies referenced on the Site (including Delivery Information and Privacy Policy), form the entire agreement between you and Agat Direct regarding Site use and purchases.
